On Friday, May 16, 2014 Next Generation Vending, LLC completed a series of transactions which resulted in the sale of all of its vending, micro mart, food service, office coffee service, and water service operations. On June 25, 2014 the equity owner of Next Generation Vending, LLC filed a petition in the Court of Chancery of the State of Delaware for the winding up of a limited liability company and the appointment of a receiver. On July 29, 2014 the Court entered its order appointing Fraas Services II, LLC, a Delaware limited liability company, as the permanent receiver for Next Generation Vending, LLC. On September 16, 2014, the Chancery Court for the State of Delaware entered an Order establishing a record date for filing claims against Next Generation Vending, LLC. On October 29, 2014 a Notice was sent to all known creditors of Next Generation Vending, LLC establishing the record date as December 29, 2014.

On October 15, 2015 Fraas Services II, LLC as Receiver for Next Generation Vending, LLC filed a motion in the Court of Chancery of the State of Delaware to (I) close the receivership, (II) discharge the Receiver, and (III) approve the form and manner of notice. Within ten days after a non-appealable order has been entered by the Court of Chancery of the State of Delaware the Receiver will make a final distribution of all remaining cash of Next Generation Vending, LLC to the agent for its senior secured lenders. Unsecured creditors will not receive a distribution. On November 17, 2015, the Chancery Court for the State of Delaware entered an Order to (I) close the receivership, (II) discharge the Receiver, and (III) approve the form and manner of notice.

The wind up of Next Generation Vending, LLC has been completed. As of December 22, 2015 there are no legally authorized representatives of the Company as the Receiver has been discharged by the Court.
